We Do Not:
- Discuss or disclose any information concerning our clients to third parties.
- Use our clients’ brand or identity for marketing purposes without their explicit written consent.
- Share or reference our client’s name or information with prospective clients for marketing purposes.
- Disclose or sell client information or our client list to third parties.
Confidentiality Agreement
At Adarsh Singhal and Its Associates, it is understood and agreed that clients may share certain information that must be treated as confidential. To safeguard such information and uphold confidentiality as required under patent and/or trade secret laws, we agree to the following:
- All information shared by the client, regardless of whether it is explicitly labeled as “Confidential Information,” will be treated as confidential. “Confidential Information” includes but is not limited to:
- Invention descriptions, ideas, drawings, or illustrations.
- Technical and business information related to proprietary ideas, inventions, trade secrets, or patentable ideas.
- Existing and/or intended products and services, research and development efforts.
- Patent searches, production costs, finances, profit and margin data.
- Customer and client information, marketing strategies, and current or future business plans.
- Adarsh Singhal and Its Associates shall disclose Confidential Information strictly within its organization on a need-to-know basis. Affiliates, including directors, partners, employees, and independent contractors, will not disclose such information unless required to do so by law.
Exclusions to Confidentiality
This Agreement does not impose any obligation on Adarsh Singhal and Its Associates with respect to Confidential Information:
(a) That was already in Adarsh Singhal and Its Associates’ possession before being disclosed by the client.
(b) That becomes public knowledge through no fault or breach by Adarsh Singhal and Its Associates.
(c) That is rightfully received by Adarsh Singhal and Its Associates from a third party not owing a duty of confidentiality to the client.
(d) That is disclosed to a third party without a duty of confidentiality or with the authorization of the client.
(e) That is public knowledge due to its availability in the public domain.
(f) That is independently procured or developed by Adarsh Singhal and Its Associates.
Entire Agreement
This Confidentiality Statement constitutes the entire agreement between Adarsh Singhal and Its Associates and the client regarding the disclosure of Confidential Information. Any additions or modifications to this Statement must be in writing and signed by both parties.
Severability
If any provisions of this Statement are found to be unenforceable, those provisions shall be modified to the extent necessary to permit enforcement, while the remaining provisions shall remain in full force.
Liability
You are solely responsible for any consequences, losses, or damages that Adarsh Singhal and Its Associates may suffer due to unauthorized activities conducted by you. Such activities may also result in criminal or civil liability.
